TERMS AND CONDITIONS

1. INTRODUCTION
1.1 These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Bidder" or "Buyer") and Bid Boss Inc. ("Bid Boss," "we," "us," or "our"). These Terms govern your registration, bidding activity, purchase of lots, and any other services provided by Bid Boss on its auction platform. By registering an account, placing a bid, or purchasing any lot, you acknowledge that you have read, understand, and agree to be bound by these Terms in their entirety.
1.2 Supplementary policies referenced herein (including Privacy Policy, Shipping Policy, and any additional auction rules) are incorporated by reference and constitute part of these Terms. In the event of any conflict between these Terms and supplemental policies, these Terms shall prevail unless expressly stated otherwise.

2. ELIGIBILITY AND REGISTRATION
2.1 Eligibility Requirements. Bidders must be at least eighteen (18) years of age and possess full legal capacity to enter into binding contracts. By registering, you represent and warrant that you satisfy these requirements.
2.2 Registration Information. You agree to provide truthful, accurate, and complete information when creating an account, including your legal name, address, email, and payment details. You shall update such information promptly if it changes. Failure to maintain accurate information may result in suspension or termination of your account.
2.3 Credit Card Verification. As a condition of registration, Bid Boss may perform a temporary authorization or hold (e.g., CAD $1.00) on your credit card to verify authenticity. Such authorization is not a charge and will be reversed or voided within three (3) to five (5) business days.
2.4 Account Security. You are solely responsible for safeguarding your account credentials and for all activities conducted through your account. You agree to notify us immediately of any unauthorized use of your account or security breach.

3. COMMUNICATIONS AND NOTICES
3.1 Electronic Communications. By registering, you consent to receive communications from Bid Boss via email, telephone, or SMS regarding auction updates, invoices, pickup scheduling, promotional offers, and other transactional matters.
3.2 Mandatory vs. Marketing Messages. Transactional messages (e.g., payment receipts, policy updates) are mandatory and will continue even if you opt-out of marketing communications. You may unsubscribe from marketing messages via the link provided in such communications.
3.3 Official Correspondence. All official notices to Bid Boss must be submitted in writing to the following email addresses:

  • Support & Returns: support@bidbossinc.ca
    Verbal communications, social media messages, or other informal channels do not constitute official notice under these Terms. Notices sent to your registered email are deemed delivered twenty-four (24) hours after transmission.
     

4. AUCTION CONDUCT AND BID PLACEMENT
4.1 Binding Nature of Bids. Each bid constitutes a firm, irrevocable offer to purchase the specified lot at the bid amount. Bids cannot be retracted for any reason.
4.2 As-Is Sales; No Warranties. All lots are sold strictly “AS-IS, WHERE-IS,” with all faults, defects, and imperfections, whether known or unknown. Bid Boss disclaims all warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
4.3 Bidder’s Due Diligence. You acknowledge and agree that you have reviewed all item descriptions, photographs, condition grades, and any provided disclosures prior to bidding. Failure to inspect or verify condition is your sole risk.
4.4 Auctioneer Discretion. Bid Boss (and its designated auctioneer, HiBid) reserves the absolute right to:

  • Reject or refuse any bid
     

  • Withdraw any lot from auction
     

  • Extend, reopen, or cancel an auction in case of technical issues or disputes
     

  • Disqualify or ban any bidder for misconduct or breach of these Terms
    All such decisions are final and non-appealable.

4.5 Notifications and Technical Issues. Bid notifications (e.g., outbid alerts) are generated by HiBid and may be delayed or undelivered. Bid Boss is not liable for notification failures. In the event of platform malfunctions, Bid Boss may, in its sole discretion, extend or reschedule the auction.
 

5. PAYMENT AND INVOICING
5.1 Settlement Invoice. Upon closing an auction in which you hold winning bids, Bid Boss will issue a settlement invoice detailing:

  • Hammer Price(s)
     

  • Buyer’s Premium (Section 9)
     

  • Handling Fees (Section 9)
     

  • Applicable Taxes (Section 3)

5.2 Automatic Payment. Unless an alternative payment method has been pre-approved in writing, the credit card on file will be automatically charged for the full invoice amount immediately upon auction close.

5.3 Alternative Payment Methods. Requests to pay via e-transfer, cash on pickup, or other methods must be submitted and approved by Bid Boss in writing before the auction’s end. Personal checks and post-dated payments are not accepted unless expressly authorized in advance.
5.4 Declined or Failed Transactions. In the event of a declined payment, you must remit payment via the secure link provided within twenty-four (24) hours of notification. Unresolved payment failures constitute default and may result in remedies under Section 6.
5.5 Taxes and Currency. All prices are in Canadian Dollars (CAD). Ontario Harmonized Sales Tax (HST) at thirteen percent (13%) applies to the aggregate of hammer price, buyer’s premium, and handling fees. Tax-exempt status requires submission of valid documentation prior to invoice issuance.
5.6 Identification for High-Value Purchases. For invoices exceeding CAD $200, you must present government-issued photo identification matching the account holder’s name and address, as well as the credit card used for payment. Failure to comply may result in a hold on your items or cancellation of the sale.
 

6. DEFAULT, ABANDONMENT, AND REMEDIES
6.1 Payment Reminders. Bid Boss will issue courtesy reminders via email and/or telephone for unpaid invoices. However, you remain solely responsible for payment and timely collection.
6.2 Abandonment of Paid Lots. Items paid for but not collected or shipped within seven (3) calendar days shall be deemed abandoned unless you obtain a written extension from Bid Boss prior to the deadline. Abandoned items may be relisted without refund.
6.3 Forfeiture of Unpaid Lots. Lots that remain unpaid or unresolved one (1) week after auction close are forfeited. You remain liable for the full invoice amount. Bid Boss may pursue legal action or collections to recover sums owed.
6.4 Remedies for Breach. In addition to forfeiture, Bid Boss may:

  • Suspend or terminate your bidding privileges
     

  • Report fraudulent activity to law enforcement
     

  • Seek reimbursement for collection and legal costs, including reasonable attorneys’ fees
    These remedies are cumulative and may be exercised concurrently.
     

7. PICKUP, SHIPPING, AND TRANSFER OF RISK
7.1 Pickup Scheduling. Within forty-eight (48) hours of auction close, you will receive an email containing your settlement invoice and a link to schedule pickup.
7.2 Rescheduling and Cancellations. To reschedule or cancel, email support@bidbossinc.ca no later than twenty-four (24) hours before your appointment. Failure to do so may count as a missed appointment.
7.3 On-Site Handling. Bid Boss provides staging equipment (carts, dollies). You and your agents are responsible for loading items. Risk of damage during loading rests with you.
7.4 Inspection and Acceptance. You must inspect and sign for all lots at pickup. Your signature on the pickup slip and invoice constitutes acceptance and releases Bid Boss from further liability except as provided in Section 8.
7.5 Missed Appointments. No-shows without timely notice risk forfeiture under Section 6. Contact support to arrange an alternate slot within the same week.
7.6 Shipping via PkgPlace. Bid Boss coordinates shipping through PkgPlace. Shipping fees are paid directly to PkgPlace. Risk of loss transfers to the carrier once lots leave our facility.

8. RETURNS AND REFUNDS
8.1 Limited Return Eligibility. Only lots graded "Grade A" or "Grade B" pursuant to Section 10 that materially fail to conform to their description qualify for return.
8.2 Return Request Window. All return requests must be submitted in writing via support@bidbossinc.ca within twenty-four (24) hours of pickup and include:

  • Settlement invoice or bidder and lot numbers
     

  • Detailed description of the defect
     

  • Photographic or video evidence

8.3 Evaluation and Authorization. Bid Boss will evaluate each request on a case-by-case basis. Approved returns must be shipped back in original condition and packaging, at your expense, within the timeframe specified.
8.4 Refund Scope. If authorized, refunds will consist solely of the hammer price, buyer’s premium, and applicable taxes. No handling or shipping fees are refundable.
8.5 Exclusions and Fees. Grade C/D lots and minor cosmetic discrepancies are ineligible. Abandoned lots incur a non-refundable restocking fee of twenty percent (20%) of the hammer price .
 

9. FEES AND CHARGES
9.1 Buyer’s Premium. A buyer’s premium of thirteen percent (13%) applies to the hammer price of each lot. Bid Boss reserves the right to adjust this rate for future auctions.
9.2 Handling Fees. Charged per lot type:

  • Single-item lot: CAD $1,5 per lot

9.3 Taxes. HST at thirteen percent (13%) applies to the total of hammer price, buyer’s premium, and handling fees.
9.4 Additional Charges. Only breach-related charges (collections, legal fees, restocking fees) may be assessed beyond standard fees.
 

10. ITEM CONDITION AND GRADING
10.1 As-Is Standard. All lots sold without warranty, "AS-IS, WHERE-IS."
10.2 Grading Definitions:

  • New/Overstock: Factory-sealed, unopened.
     

  • Grade A: Opened for verification; no functional or cosmetic defects.
     

  • Grade B: Functional; minor cosmetic wear or missing non-critical accessories.
     

  • Grade C: Functional; noticeable wear or missing essential parts.
     

  • Grade D: Non-functional; sold for parts or repair.

10.3 Buyer Responsibility. It is your responsibility to review all descriptions and images prior to bidding. No post-sale claims for condition are permitted except as authorized in Section 8.
 

11. LIMITATION OF LIABILITY AND INDEMNIFICATION
11.1 Indemnification. You agree to defend, indemnify, and hold harmless Bid Boss and its officers, directors, employees, and agents from any claims arising out of your breach of these Terms, negligence, or use of lots.
11.2 Limitation of Liability. To the maximum extent permitted by law, Bid Boss’s aggregate liability for any claim related to these Terms or any lot shall not exceed the hammer price paid for the affected lot. Bid Boss shall not be liable for any indirect, incidental, consequential, punitive, or special damages.

12. DATA PRIVACY
12.1 Data Collection. We collect personal information necessary to conduct auctions and fulfill orders.
12.2 Use and Sharing. We do not sell personal data. We may share information with service providers (e.g., payment processors, carriers) solely for transactional purposes.
12.3 Security. We implement industry-standard safeguards (SSL/TLS, PCI compliance) but cannot guarantee absolute security.

13. FORCE MAJEURE
Bid Boss shall not be liable for delays or failures due to events beyond its reasonable control, including natural disasters, war, pandemics, strikes, or technical failures. We may suspend or modify operations and deadlines as necessary and will endeavor to notify affected parties promptly.

14. DISPUTE RESOLUTION
14.1 Governing Law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
14.2 Arbitration. All disputes shall be resolved by final and binding arbitration in Toronto under the Ontario Arbitration Act, 1991, on an individual basis. Class actions are waived.
14.3 Small Claims Option. You may opt to pursue claims in small claims court if within jurisdictional limits.
14.4 Fees and Costs. The prevailing party in arbitration or litigation is entitled to recover reasonable attorneys’ fees and costs.
14.5 Time to File. Any claim must be filed within one (1) year of the event giving rise to the dispute or forever barred.

15. AMENDMENTS, TERMINATION, AND SEVERABILITY
15.1 Amendments. We may modify these Terms by posting revised versions at www.bidbossinc.ca/terms. Continued use of the platform constitutes acceptance of changes.
15.2 Termination. We may suspend or terminate accounts for breach or business reasons. Key provisions (payment obligations, indemnification, dispute resolution) survive termination.
15.3 Severability. If any provision is held invalid, the remaining Terms remain in full force.
15.4 No Waiver. Failure to enforce a right does not constitute a waiver unless in writing.
